1. Acceptance of Terms

By accessing or using DisclosureSignals ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms constitute a legally binding agreement between you and DisclosureSignals.

2. Description of Service

DisclosureSignals aggregates, analyzes, and presents publicly available SEC EDGAR filing data, including Form 4 insider trading disclosures, Congressional stock trading reports (STOCK Act), and institutional 13F holdings. The Service provides data visualization, alerts, and API access subject to your subscription tier.

3. Not Financial Advice

IMPORTANT: All information provided by DisclosureSignals is for informational and educational purposes only. Nothing on this platform constitutes investment advice, financial advice, trading advice, legal advice, or tax advice, or any other sort of advice, and nothing on this platform is a recommendation to buy, sell, or hold any security.

You should not treat any content on this Service as a substitute for professional financial advice. Always conduct your own research and consult a qualified financial advisor before making investment decisions. Past performance does not guarantee future results.

DisclosureSignals does not provide personalized investment recommendations and does not assess the suitability of any security or strategy for any particular user. We do not take your portfolio, financial circumstances, risk tolerance, age, income, investment objectives, or tax situation into account, and no output of the Service should be interpreted as having been tailored to them. Watchlists, alerts, and scores are information-monitoring features, not recommendations. Signal calculations are objective and explainable, and are described on our methodology page. Higher signal scores do not imply expected price appreciation, investment merit, or a bullish view of any security.

4. Data Timing Disclosures

Every alert, score, and display on the Service refers to information that became publicly available after the underlying event. The general sequence is: underlying transaction → public filing/disclosure → DisclosureSignals processing → user notification. An alert from DisclosureSignals is a notice about a newly available public filing, not a contemporaneous report of a newly executed trade.

• SEC Form 4 (insider transactions): Corporate insiders generally have up to two business days after the transaction to file Form 4. A Form 4 alert may therefore arrive two or more business days after the transaction occurred.
• Congressional transactions (STOCK Act): Members of Congress may report transactions on periodic disclosures that become public weeks after the transaction occurred. Congressional alerts should never be treated as contemporaneous trade alerts.
• Form 13F (institutional holdings): 13F filings reflect historical institutional holdings and may be filed up to 45 days after quarter end. 13F data is institutional disclosure intelligence, not a record of current institutional trading activity.

“Near-real-time” refers to DisclosureSignals processing after a filing becomes publicly available. It does not mean DisclosureSignals receives information at the time the underlying transaction occurs.

5. Signal Scores

The Disclosure Signal Score measures characteristics of a reported transaction using predefined, objective criteria (such as transaction type, insider role, transaction size, and clustering), described on our methodology page. A higher score does not represent expected investment performance, a bullish rating, or a recommendation to buy, sell, or hold a security. Scores are a quantitative filter for organizing public disclosures and nothing more.

6. AI-Generated Content

AI-generated summaries and analysis are provided for informational and research purposes only. AI-generated content may contain errors, omissions, or incorrect interpretations and should not be relied upon as investment advice or as the sole basis for an investment decision. Users should verify material information against the original filing or authoritative source. AI-generated content does not provide BUY/SELL/HOLD recommendations or personalized investment advice, and it does not assess suitability for any user's financial circumstances.

7. User Accounts

To access certain features, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activity under your account

We reserve the right to suspend or terminate accounts that violate these terms or engage in abusive behavior.

8. Subscription and Billing

DisclosureSignals offers free and paid subscription tiers. By subscribing to a paid plan:

• You authorize recurring charges through our payment processor, Stripe
• Subscriptions automatically renew unless cancelled before the renewal date
• You may cancel at any time through your account or by contacting support
• No refunds for partial billing periods unless required by law
• We reserve the right to change pricing with 30 days notice

9. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to any part of the Service
• Scrape, crawl, or systematically collect data outside of the provided API
• Share your account credentials or API keys with third parties
• Resell, redistribute, or commercially exploit raw data without written permission
• Interfere with or disrupt the Service or its infrastructure
• Use automated tools to exceed rate limits or circumvent access controls

10. API Access

API access is granted to Pro tier subscribers subject to:

• Rate limits as specified in your subscription tier
• Fair use policies designed to prevent abuse
• No caching or storing data for purposes competing with DisclosureSignals
• Attribution requirements when displaying data publicly

We may suspend API access for violations without prior notice.

11. Intellectual Property

The Service, including its design, code, trademarks, and proprietary algorithms, is owned by DisclosureSignals. You are granted a limited, non-exclusive, non-transferable license to use the Service for personal or internal business purposes. The underlying SEC EDGAR data is public domain; our analysis, presentation, and tools are our intellectual property.

12. Data Accuracy and Availability

While we strive for accuracy, SEC filings, Congressional disclosures, and other source documents may contain errors, delays, or omissions by the original filers. DisclosureSignals does not guarantee the completeness, accuracy, or timeliness of any data. You acknowledge that delays in SEC processing and data transmission are outside our control. Filings, AI summaries, alerts, analytics, and scores may be delayed, incomplete, or inaccurate, and should be verified against the original public filing or authoritative government source before being relied upon.

13. Limitation of Liability

To the maximum extent permitted by law:

• DisclosureSignals is not liable for any investment losses or financial decisions made based on our data
• We are not liable for indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim

14. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure.

15. Indemnification

You agree to indemnify and hold harmless DisclosureSignals from any claims, damages, or expenses arising from your use of the Service, violation of these terms, or infringement of any third-party rights.

16. Governing Law

These terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

17. Modifications

We may modify these terms at any time. Material changes will be communicated via email or prominent notice on the Service. Continued use after changes constitutes acceptance.

18. Termination

We may suspend or terminate your access at any time for violations of these terms. Upon termination, your right to use the Service ceases immediately, and your data will be handled per our Privacy Policy.
