By accessing or using DisclosureSignals ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms constitute a legally binding agreement between you and DisclosureSignals.
2. Description of Service
DisclosureSignals aggregates, analyzes, and presents publicly available SEC EDGAR filing data, including Form 4 insider trading disclosures, Congressional stock trading reports (STOCK Act), and institutional 13F holdings. The Service provides data visualization, alerts, and API access subject to your subscription tier.
3. Not Financial Advice
IMPORTANT: All information provided by DisclosureSignals is for informational and educational purposes only. Nothing on this platform constitutes investment advice, financial advice, trading advice, or any other sort of advice.
You should not treat any content on this Service as a substitute for professional financial advice. Always conduct your own research and consult a qualified financial advisor before making investment decisions. Past performance does not guarantee future results.
4. User Accounts
To access certain features, you must create an account. You agree to:
- Provide accurate and complete information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
- Accept responsibility for all activity under your account
We reserve the right to suspend or terminate accounts that violate these terms or engage in abusive behavior.
5. Subscription and Billing
DisclosureSignals offers free and paid subscription tiers. By subscribing to a paid plan:
- You authorize recurring charges through our payment processor, Stripe
- Subscriptions automatically renew unless cancelled before the renewal date
- You may cancel at any time through your account or by contacting support
- No refunds for partial billing periods unless required by law
- We reserve the right to change pricing with 30 days notice
6. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose
- Attempt to gain unauthorized access to any part of the Service
- Scrape, crawl, or systematically collect data outside of the provided API
- Share your account credentials or API keys with third parties
- Resell, redistribute, or commercially exploit raw data without written permission
- Interfere with or disrupt the Service or its infrastructure
- Use automated tools to exceed rate limits or circumvent access controls
7. API Access
API access is granted to Pro tier subscribers subject to:
- Rate limits as specified in your subscription tier
- Fair use policies designed to prevent abuse
- No caching or storing data for purposes competing with DisclosureSignals
- Attribution requirements when displaying data publicly
We may suspend API access for violations without prior notice.
8. Intellectual Property
The Service, including its design, code, trademarks, and proprietary algorithms, is owned by DisclosureSignals. You are granted a limited, non-exclusive, non-transferable license to use the Service for personal or internal business purposes. The underlying SEC EDGAR data is public domain; our analysis, presentation, and tools are our intellectual property.
9. Data Accuracy
While we strive for accuracy, SEC filings may contain errors, delays, or omissions by the original filers. DisclosureSignals does not guarantee the completeness, accuracy, or timeliness of any data. You acknowledge that delays in SEC processing and data transmission are outside our control.
10. Limitation of Liability
To the maximum extent permitted by law:
- DisclosureSignals is not liable for any investment losses or financial decisions made based on our data
- We are not liable for indirect, incidental, special, or consequential damages
- Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
11. Disclaimer of Warranties
The Service is provided "as is" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure.
12. Indemnification
You agree to indemnify and hold harmless DisclosureSignals from any claims, damages, or expenses arising from your use of the Service, violation of these terms, or infringement of any third-party rights.
13. Governing Law
These terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
14. Modifications
We may modify these terms at any time. Material changes will be communicated via email or prominent notice on the Service. Continued use after changes constitutes acceptance.
15. Termination
We may suspend or terminate your access at any time for violations of these terms. Upon termination, your right to use the Service ceases immediately, and your data will be handled per our Privacy Policy.
